If you license or use Lucidworks software (the “Lucidworks Software”) or otherwise, the following additional terms apply only with respect to your use of the Lucidworks Software: Lucidworks, Inc. (“Lucidworks”) is an intended third party beneficiary of this AESE with the right to impose warranties and other provisions of the EULA to verify compliance. Your use of the Lucidworks software is strictly limited to all subscription terms you purchase for the Lucidworks software license, as well as its renewals. Only you can directly use or access the Lucidworks software; However, provided that if you are a service provider, you will not be prevented from giving your customers access to the expense resulting from your use of the Lucidworks software. Lucidworks and its licensors own and retain all right, title and share of the Lucidworks Software and any enhancements or derivative works thereof. You must not decompile, decompile, or attempt to learn the source code of the Lucidworks software; or combine or distribute the Lucidworks software with licensed software under conditions requiring that the Lucidworks software be provided in the source code. Acronis may change this Agreement from time to time, including all referenced policies and other documents. If we make material changes to this agreement, we will notify you by posting the change on our website or by sending you an email to your primary email address. All changes to this Agreement shall be effective immediately for new end users; Otherwise, changes for existing end users will take effect no earlier than thirty (30) calendar days after email notification to you or thirty (30) calendar days after we post the notification on our site.
Acronis may, at any time, introduce royalties for software, services or individual parts or components (“Features”) at any time, whether Acronis has been calculated separately for such functions. All intellectual property and intellectual property rights in the Software, as well as any copies you may make to it, are owned by Commvault and/or its licensors and are protected by patents, copyrights, trade secrets, and other laws of the United States and other countries, as well as international contractual clauses. In addition to any other rights or remedies available to them, such licensors are third party beneficiaries of this SEA for their respective software and may have the right to enforce such terms against you. This software is licensed, not sold. The purchase of a license for the software is final, non-refundable and non-refundable (except as set forth above). Acceptance of the software is made with delivery of the software to you by Commvault or its licensors. They do not have any rights other than a license to use the software on the terms expressly defined in this AESE. The structure, order, organization and source code of the software are valuable trade secrets of Commvault and/or its licensors.
The export of the software may be limited by the export control laws of the United States of America and other countries. You agree to strictly abide by all of these rules and acknowledge that you are responsible for obtaining licenses to export, re-export or import software. This AESE is subject to the laws of New Jersey, Usa, without regard to the provisions relating to the applicability of the laws of other jurisdictions. . . .
